Article IV - Board of Directors
- The Board of Directors shall consist of the 19 Directors of the Council, including the President, Vice President, Treasurer, Secretary, and immediate past President. All directors must be dues-paying members. The Board shall meet at least twice yearly.
- The following groups: Alumni Relations, Development, Public Relations, and Publications shall each elect three members of the SUNYCUAD Board of Directors. The three other groups: Governmental Relations, Marketing, and Web Development, shall each elect one member of the Board of Directors. Each Director shall serve a three-year term of office. One Director from each group, except Governmental Relations, Marketing and Web Development, shall be elected annually. The Governmental Relations, Marketing and Web Development Directors shall have staggered terms so that one is elected each year.
- To ensure representation from SUNY's community college campuses, two seats on the Board will be filled by Council members from that constituency. One directorship will be filled by a community college professional in alumni relations and/or development and one directorship by a community college professional in public (community) relations and/or publications. The community college directors will be elected to three-year terms and will be elected every three years.
- Board members shall be eligible to serve no more than two full, consecutive terms. Individuals who become Board members by election or appointment to less than a full term shall be eligible for two consecutive full terms.
- Upon the election of the President from the membership of the Board of Directors, the vacancy on the Board shall be filled by a SUNYCUAD member of the same discipline until the next election. The new Director shall be chosen by presidential appointment, subject to the approval of the Board. The President now serves on the board ex officio; that is, he/she does not fill a term of directorship, but rather continues on the board as president and subsequently past president.
- When a vacancy occurs in a professional representation seat on the Board, a replacement shall be chosen by vote of the full Board of Directors, upon recommendation of the two remaining Directors from his/her professional group, to serve until the next general election at which time the remainder of the vacant term will be filled by a vote of the membership. In the event there is more than one vacancy in a particular track, the candidate receiving the most votes in the election for that track will receive the longer term. When a vacancy occurs in one of the community college directorships, the Board shall also choose a replacement to serve until the next general election by conferring with the remaining community college Director and after additional appropriate consultation with two-year college members of SUNYCUAD.
- When a vacancy occurs among the Officers, a replacement shall be chosen by a majority vote of the remaining Board of Directors.
- The Past President of the Board of Directors will remain on the Board as a voting member for the two years following the end of the elected term of office or longer, if warranted and approved by the Board of Directors. If an outgoing President declines the position of Past President or if the Past President resigns from the Board, the Board of Directors shall appoint another Past President to serve the remainder of the term.
- One SUNY System Administration or Research Foundation liaison shall be a member ex-officio of the Board of Directors, with no vote.
Elections to the Board of Directors
- No later than the second week in February, the elections officer shall send to each professional actively engaged in Alumni Relations, Publications, Public Relations, Development, Governmental Relations, Marketing and Web Development a form requesting the nomination of no more than three colleagues for seats on the Board of Directors. Nominators may only nominate in their track Community college advancement professionals will also be asked to nominate no more than three colleagues for the two community college directorships on years in which those seats are to be filled. Nominators from community colleges may nominate within their community college track and their profession track. Forms are to be returned to the elections officer no later than March 1.
- The elections officer will encourage the membership to consider the geographic distribution of the Board in making nominations. In order to be nominated or elected, an individual must be a dues paying member. No more than two individuals from a campus may serve on the Board at one time.
- After the nominations are tabulated, the nominees with the most nominations in their track shall be declared finalists. There shall be no more than three nominees for a vacancy on the Board of Directors. The three receiving the most nominations will be placed on the ballot. If there is only one nominee for a seat, that person, if meeting nomination and election criteria, will be named to fill the seat without election. In a track where there is more than one vacancy, the nominee receiving the most votes will receive the longer term.
- Ballots shall be circulated no later than March 15 requiring return no later than April 1. Ballots shall be accompanied by a short biographical sketch of each finalist. Write-in candidates on the election ballots are inadmissible. In the event there is more than one vacancy in a particular track, the candidate receiving the most votes in the election for that track will receive the longer term.
- Newly elected Board members will be notified by the President of their election and requested to attend the Board of Directors meeting at the annual conference. This will be the final official meeting for outgoing Board members and the annual election of officers. New, outgoing and incumbent members of the Board may cast ballots for officers of the Board.
